We’ve all been told that we need to know our contracts, negotiate fair terms in our contracts, document changes and claims properly per our contact, and so on. But sometimes these things are not top of mind when bidding on new projects and managing the actual work. Or they’re a bit intimidating to confront and we just don’t do it, even though we know we should. Well, as the old saying goes, a great way to learn is from your own mistakes, but the best way to learn is from the mistakes of others.
This program is intended to walk through key construction contract provisions that must be taken seriously and negotiated - and real life examples of how things can go downhill fast when they’re not. Signing a contract with both a pay-if-paid clause and a contractual lien waiver, accepting over-generalized scope of work descriptions when the bid proposal was for a specific scope, agreeing to indemnification

Phil is the founder and owner of the Truax Law Group, Ltd., based out of Avon, Ohio. Truax Law specializes in construction law in Northeast Ohio, and prides itself both on a depth of knowledge of practical construction and design issues, and a mastery of the law. The firm offers pragmatic yet tenacious service in risk management, strategic advice, claims management, and dispute resolution.
Prior to forming Truax Law in 2021, Phil spent his legal career working in prolific construction practice groups at Ohio firms, and building the construction practice at a regional firm. Before his legal career, Phil worked as a laborer and labor foreman for several years on large commercial projects for large general contractors and several other trade contractors. Phil graduated from Ohio University in 2001 with a bachelor’s degree in broadcast journalism and obtained his law degree from Case Western Reserve University in 2005. Phil is licensed in Ohio and Kentucky.
